Thank you for your using VisionQuest, an AI platform designed to automate the mundane and bring your vision to life. By using VisionQuest, you are co-creating a future for any human being to be able to live on purpose - using the power of AI to amplify one’s impact and income.This document sets forth the legally binding Terms of Service when accessing or using VisionQuest (a platform owned and operated by SpiritualTech Systems a non-profit religious organization incorporated in the state of California and referred to as “we”, “our”, “us”, “VisionQuest”) or any of our products, services, and features within the platform (referred to as “Services”). Please read it carefully in addition to our Privacy Policy which outlines how we use your data.

Kaizen, or continuous improvement, is a pillar of our work at VisionQuest, and as our Services evolve, please be aware that our Terms of Service will need to evolve as well. VisionQuest reserves the right to change these Terms of Service at any time. Acceptance

The terms “Customer”, “you”, “your” shall refer to any natural person or entity and its authorized users that subscribes to or uses the Services. By accessing or using our Services, you are accepting these Terms of Service and you represent that you have the right, authority, and capacity to enter into these Terms of Service. You may not access or use the Services or accept the Terms of Service if you are not at least 13 (thirteen) years old. If you are under 18 (eighteen), you represent that you have your parent or legal guardian’s permission to use the Services.

VisionQuest Services

To access VisionQuest, you may need to create an account by selecting a password and username (“VisionQuest Account”) and providing us with certain information, such as your contact details. Please ensure that the information you provide is accurate, complete, and up-to-date. You are not allowed to use a name that you are not authorized to use or impersonate someone else.

Transferring your VisionQuest Account to another person without our prior written consent is not allowed. You are responsible for your lawful use of the Services. This means that you may not use the Services to try to violate the intellectual property rights of others, including copyright, patent, or trademark rights. If your use of the Services violates any applicable laws, you are not authorized to use the Services. VisionQuest can’t and won’t be liable for any unlawful use of the Services.

Please keep your VisionQuest Account secure and do not share it with anyone. You are responsible for keeping your account credentials safe. Any activities that occur within your VisionQuest Account are your responsibility. On specific occasions, we may access your account for purposes such as troubleshooting, administration, diagnostics, and safety.

VisionQuest IP

You acknowledge that all the intellectual property (IP) rights, including copyrights, patents, trademarks, and trade secrets, in the Services are owned by VisionQuest or its suppliers. Neither these Terms of Service (nor your access to the Services) transfers to you or any third party any rights, title, or interest in or to such intellectual property rights.

Content and Content Rights

You may provide input to the Services (“Input”), and receive output from the Services based on the Input (“Output”). Input and Output are collectively referred to as “Content.”You are solely responsible for Content, including ensuring that it does not violate any applicable law or these Terms of Service. This includes but is not limited to Content that (i) infringes upon the copyrights, trademarks, or privacy rights of any third party; (ii) includes sexually explicit content; (iii) contains hateful, defamatory, or discriminatory content; (iv) exploits minors; (v) depicts unlawful acts or violence; (vi) shows animal cruelty or violence towards animals; (vii) promotes fraudulent schemes, (viii) violates any applicable laws.

You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services. You assume all risks associated with the creation, use, or distribution of Content, and VisionQuest cannot be held responsible.

You acknowledge and accept that our Services contain connections to third-party technology that is not owned or controlled by VisionQuest. This includes AI and LLM providers, services, and websites. We do our best to select partners that protect your Content in alignment with our Terms of Service, but be aware that Content shared on VisionQuest is sent to third-party technology and be mindful of the nature of the Content you share. By using the Services, you assume full risk and responsibility for your Content and hold VisionQuest harmless and not responsible for any damages that are incurred.Any Content you create with the Services is owned by you to the fullest extent possible under applicable law, unless otherwise specified by the third-party terms of service. In addition, you grant VisionQuest full, irrevocable access to use the Content in any way we see fit for the purpose of supporting your use of the Services, providing Services to you, or supporting and further improving the Services.

Subscriptions

Paid subscriptions are billed in advance on a monthly or yearly basis. They are non-refundable for the subscription period they are purchased for. Payments are processed via credit card or other valid payment method. By providing us with your credit card or valid payment method details, you agree to us auto-processing payment on the next billing date of your billing cycle. Subscriptions auto-renew.

However, at VisionQuest, our intention is not to lock you into a product or service unless you are satisfied and find value in it. So, if you have purchased a subscription and have an extenuating situation where you need a refund, we ask that you send us an email at [email protected]. Refund requests will be handled on a case-by-case basis.

You may cancel your subscription at any time and for any reason. Subscription payments will stop from the next billing cycle onwards so long as 72-hours notice is given prior to the next billing date. For example, if the next billing date is on Aug 17, please inform us by Aug 14th 11:59pm Pacific Time. To cancel your subscription, notify us via email at [email protected].

Third-Party Services

The Services may give you the option to link to third-party features and integrations. For example, payment for the Services is collected via a third-party service. VisionQuest does not own or operate any of these third-party services. You take full responsibility for any risk or damages that are incurred when accessing third-party features or integrations. VisionQuest will not take any responsibility for any act or omission of the third party or the availability, accuracy, the related content, products, or services of third parties.

Termination

You may stop using VisionQuest and the Services at any time. To shut down your VisionQuest account, send us an email to [email protected]. In addition, your account may be terminated if you are in breach of these Terms of Service or past-due on payments. VisionQuest will attempt to inform you and try to collect payment prior to termination.

Other Legal Terms

Offered “As Is”

VisionQuest and the Services are provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall VisionQuest or its suppliers be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the software or the use or other dealings in the software.

You take sole responsibility for your use of the Services. VisionQuest will not take responsibility or liability for any acts, omissions, and conduct of any third parties in connection with or related to your use of the Services. You assume total responsibility for your use of the Services and any linked sites.

Indemnification

To the extent permitted by law, you agree to indemnify and hold VisionQuest, our affiliates, and our personnel harmless from any damages or losses of any kind arising out of or relating to your use of the Services or violation of these Terms of Service. This includes, but is not limited to, claims by third parties that your use of the Services or Content infringes upon their rights, damages resulting from your use of the Services, and any activity related to your account by you or any other person accessing the Services using your account.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall VisionQuest, its affiliates, agents, directors, employees, or suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the software, third-party software and/or third-party hardware used with the software, or otherwise in connection with any provision of this warranty), even if VisionQuest or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Dispute Resolution

At VisionQuest, our intention is to co-create a bright future world with you. If something comes up, we are here to address your concerns. Please reach out to us at [email protected] with your name, detailed description of your claim, and the relief that you seek. We will do our best to resolve the claim and respond back to you in a timely manner.If we are not able to resolve the matter, any dispute or claim will be escalated to be resolved through binding arbitration. The arbitration will be conducted in accordance with the rules of the American Arbitration Association (“AAA”), and the proceedings shall take place in San Francisco, California.

Each party shall bear its own costs and expenses of arbitration, including attorneys’ fees. The costs of arbitration, including the arbitrator’s fees, shall be borne equally by the parties, unless the arbitrator determines that a different allocation is necessary. The arbitration proceedings, including any information disclosed during the arbitration, shall be confidential and shall not be disclosed to any third party except as required by law. By agreeing to arbitration, both parties are waiving their right to a jury trial or a trial before a judge in a public court. By using VisionQuest or the Services, you agree to this binding arbitration clause.

No Waiver

The failure of either party to enforce any right or provision of these Terms of Service shall not constitute a waiver of that right or provision. No waiver of any term or condition of these Terms of Service shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any single or partial exercise of a right under these Terms of Service shall not preclude any further exercise of that or any other right. To be effective, any waiver must be in writing and signed by the party granting the waiver.

Severance

If any part of these Terms of Service is found to be inapplicable or unenforceable for any reason, the remaining provisions of this document shall remain in effect.

Assignment

You may not assign, delegate, or transfer these Terms of Service or your rights or obligations hereunder, or your VisionQuest Account, in any way without VisionQuest’s prior written consent.

Limitation on Legal Action

You and VisionQuest agree that any cause of action arising out of or related to the Services must commence within one (1) year after the cause of action.
